PELOTON PRODUCTS AND PELOTON SERVICES END-OF-LIFE POLICY

This End-of-Life policy ("Policy") applies to all Peloton Sites, Peloton Services, products, apparel, or parts manufactured, distributed, or sold by Peloton (collectively, the "Peloton Products") and is intended to communicate the transition plan for the end of life for Peloton Products.

By purchasing or using a Peloton Product, you agree to the following terms and conditions of this Policy, which supplement and form a part of the Peloton Terms of Service.

The interpretation of this Policy or the application of this Policy shall be as determined by Peloton in its sole discretion. This Policy is effective for all Peloton Products and Peloton Services, including any versions thereof, regardless of release date.

Peloton reserves the right to change this Policy from time to time in accordance with the Peloton Terms of Service. Capitalized terms not defined here have the meaning given to them in the Peloton Terms of Service.

You may have rights or remedies relating to Peloton Products which cannot be excluded or limited under applicable law. Nothing in this Policy is intended to or will affect any such rights or remedies or limit or exclude any liabilities, for example liabilities for personal injury or death caused by our negligence or for fraudulent misrepresentation, which cannot be excluded or limited. All other warranties applicable to Peloton Products will terminate in accordance with their terms and applicable law.

Overview

Peloton is committed to providing industry-leading products and services. This means Peloton Products will continue to evolve with more complex levels of capabilities, functionalities and enhanced security, data and software/hardware design requirements. Peloton may discontinue Peloton Products in its sole discretion.

Factors that may be taken into account in end-of-life determinations could be based on, among other things: i) technical limitations and/or data security considerations that may be associated with the age of products; ii) average useful life data for similar product categories, when available; and iii) the availability and/or lack of support of third-party technology.

Definitions

End-of-Life : A process that guides the final operations associated with a Peloton Product life cycle. The end-of-life process consists of a series of technical and business milestones and activities that, once completed, make a product obsolete. Once obsolete, a Peloton Product is not sold, improved, maintained, or supported (subject to applicable law).

End-of-Sale Date : Last calendar date on which Peloton will sell a Peloton Product or any component thereof that Peloton has determined to end-of-life. End-of-Sale Date may be unique to each Peloton Product or such component and will be effective as determined by Peloton or in accordance with the notice provisions as set forth in this Policy or as otherwise published by Peloton (subject to applicable law).

End-of-Software Support Date : Last calendar date on which Peloton will create software fixes for a Peloton Product or a component thereof that Peloton has determined to end-of-life. End-of-Software Support Date may be unique to each Peloton Product or such component and will be effective as determined by Peloton or in accordance with the notice provisions as set forth in this Policy or as otherwise published by Peloton (subject to applicable law).

End-of-Life Date : Last calendar date on which Peloton will support a Peloton Product or component thereof that Peloton has determined to end-of-life. End-of-Life Date may be unique to each Peloton Product or such component and will be effective as determined by Peloton or in accordance with the notice provisions as set forth in this Policy or as otherwise published by Peloton (subject to applicable law).

It is important to note that there may be scenarios when Peloton Products may be inoperable after their respective End-of-Life Date. For instance, should you decline certain upgrade or replacement opportunities for Peloton Products as they reach their End-of-Life Date, there may be situations where such Peloton Products may be materially limited in functionality (such as the ability to connect to Peloton's servers for connected fitness activities) or wholly inoperable.

General Policy Terms and Conditions

Peloton will continue to provide software support for Peloton Products after their End-of-Sale Date. Software Support will be provided in accordance with any terms and conditions as may be published by Peloton from time to time with the limitation that software updates and releases are available up to the End-of-Software Support Date (subject to applicable law). Subsequently, software updates may be provided, where available, up to the End-of-Life Date and in accordance with any terms and conditions as may be published by Peloton from time to time (subject to applicable law).

Peloton will continue to provide hardware support for Peloton Products after their End-of-Sale Date. Support will be provided up to the End-of-Life Date and in accordance with any terms and conditions as may be published by Peloton from time to time (subject to applicable law).

Notice

Where feasible, Peloton will issue a ninety (90) day notice prior to each respective End-of-Sale Date, the End-of-Software Support Date and the End-of-Life Date. Peloton will use commercially reasonable efforts to disseminate notice in writing toimpacted Members by electronic mail using the contact information reasonably available within Peloton's records. In addition, Peloton will publish such notices on the Peloton Sites.
